Terms of Service

These Terms of Service (hereinafter referred to as the "Terms") define the conditions for using the application "Sokqa" and its related websites (hereinafter collectively referred to as the "Service") provided by Convly Inc. (hereinafter referred to as "we", "us", or "our"). Users (hereinafter referred to as "Users" or "you") shall use the Service in accordance with these Terms.

Article 1 (Application)

  1. These Terms shall apply to any and all relationships between the User and us concerning the use of the Service.
  2. In addition to these Terms, we may establish various rules and provisions (hereinafter referred to as "Individual Provisions") regarding the use of the Service. These Individual Provisions, regardless of their name, shall constitute a part of these Terms.
  3. If any provision of these Terms conflicts with the Individual Provisions set forth in the preceding paragraph, the Individual Provisions shall take precedence unless otherwise specified.

Article 2 (Contents of the Service)

The Service is an application and related content provision service that allows Users to import learning packs (such as JSON data) and study through features like text-to-speech (e.g., Listen-through mode).

Article 3 (User Responsibilities and Handling of Learning Data)

  1. The Service operates primarily in a local environment (within the User's device), and learning data imported or created by the User is saved locally on their device. We bear no obligation to back up or restore data on the User's device.
  2. The User represents and warrants to us that they have lawful rights to the learning data they import, create, or share within the Service, and that such data does not infringe upon the intellectual property rights or other rights of any third party.
  3. In the event of a dispute with another User or a third party arising from the learning data imported or shared by the User, we shall bear no responsibility, and the User shall resolve the dispute at their own responsibility and expense.

Article 4 (Disclaimer Regarding Official Content)

  1. We make no warranties of any kind regarding the accuracy, recency, completeness, usefulness, or suitability for any specific learning purpose of the guide packs bundled with the Service or sample learning packs provided through our official website (e.g., the landing page) (hereinafter collectively referred to as "Official Content").
  2. While we conduct reasonable checks (such as fact-checking) when creating Official Content, it may contain errors, inaccurate descriptions, or become obsolete due to changes in laws or regulations.
  3. Users shall use the Official Content as reference information. We shall not be liable for any damages or disadvantages (including, but not limited to, learning outcomes, pass/fail results of exams, acquisition of qualifications, etc.) incurred by the User as a result of using such content.

Article 5 (Prohibited Acts)

When using the Service, the User must not engage in any of the following acts:

  1. Acts that violate laws, regulations, or public order and morals.
  2. Acts related to criminal activities.
  3. Acts that destroy or interfere with the functions of the servers or networks of us, other Users of the Service, or third parties.
  4. Acts that may interfere with the operation of the Service.
  5. Acts of collecting or accumulating personal information of other Users.
  6. Acts of unauthorized access or attempts to gain such access.
  7. Acts of impersonating other Users.
  8. Acts that directly or indirectly provide benefits to antisocial forces in connection with the Service.
  9. Acts that infringe on the intellectual property rights, portrait rights, privacy, honor, or other rights or interests of us, other Users of the Service, or third parties.
  10. Any other acts that we deem inappropriate.

Article 6 (Suspension of the Service)

  1. We may stop or suspend the provision of all or part of the Service without prior notice to the User if we determine that any of the following reasons exist:
    • When performing maintenance, inspection, or updates of computer systems related to the Service.
    • When it becomes difficult to provide the Service due to force majeure such as earthquakes, lightning strikes, fires, power outages, or natural disasters.
    • When computers or communication lines, etc., stop due to an accident.
    • When we otherwise determine that it is difficult to provide the Service.
  2. We shall not be liable for any disadvantage or damage suffered by the User or a third party due to the suspension or interruption of the provision of the Service.

Article 7 (Usage Restrictions and Registration Cancellation)

  1. We may restrict the User from using all or part of the Service, or cancel the User's registration without prior notice, if the User falls under any of the following:
    • If the User violates any provision of these Terms.
    • If it is found that there are false facts in the registered information.
    • If there is no response for a certain period to communications from us.
    • If we otherwise determine that the User's use of the Service is inappropriate.
  2. We shall not be liable for any damages incurred by the User as a result of actions taken by us based on this Article.

Article 8 (Disclaimer of Warranties and Limitation of Liability)

  1. We do not explicitly or implicitly guarantee that the Service is free of de facto or legal defects (including defects related to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors or bugs, and infringement of rights).
  2. We shall not be liable for any damages incurred by the User arising from the Service. However, this disclaimer shall not apply if the contract between us and the User regarding the Service (including these Terms) is a consumer contract as defined in the Consumer Contract Act.
  3. Even in the case provided for in the proviso of the preceding paragraph, we shall not be liable for damages arising from special circumstances (including cases where we or the User foresaw or could have foreseen the occurrence of the damages) among the damages incurred by the User due to our default or tort caused by negligence (excluding gross negligence).

Article 9 (Changes to Service Content, etc.)

We may change the content of the Service or discontinue providing the Service without notice to the User, and we shall not be liable for any damages incurred by the User as a result.

Article 10 (Changes to the Terms of Service)

We may change these Terms at any time without notifying the User if we deem it necessary. If the User starts using the Service after the Terms have been changed, the User shall be deemed to have agreed to the modified Terms.

Article 11 (Handling of Personal Information)

We shall appropriately handle personal information acquired through the use of the Service in accordance with our "Privacy Policy."

Article 12 (Notices or Communications)

Notices or communications between the User and us shall be made by the method specified by us.

Article 13 (Prohibition of Assignment of Rights and Obligations)

The User may not assign their position under the use contract or their rights or obligations under these Terms to a third party, or provide them as collateral, without our prior written consent.

Article 14 (Governing Law and Jurisdiction)

  1. The interpretation of these Terms shall be governed by the laws of Japan.
  2. In the event of a dispute concerning the Service, the court having jurisdiction over the location of our head office shall be the exclusive agreement jurisdictional court.
